Purpose<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-38e67e3 elementor-widget elementor-widget-text-editor\" data-id=\"38e67e3\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>These General Terms and Conditions of Sale (\u201cGTCS\u201d) set out the terms under which OBSAM,<br \/>a simplified joint-stock company (SAS) with a share capital of \u20ac15,879, registered with the<br \/>Saint-Malo Trade and Companies Register under number 817 448 558, and having its registered<br \/>office at 119 rue de Brest, 22100 Dinan, France (\u201cOBSAM\u201d), provides its OSTRAL and<br \/>BOREAL services (the \u201cServices\u201d) to its clients on a Software-as-a-Service (SaaS) basis.<br \/>The Services are intended solely for professional use. Any misuse or use outside the intended<br \/>scope is strictly prohibited.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-7719f39 e-flex e-con-boxed e-con e-parent\" data-id=\"7719f39\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-e2fdb1a elementor-widget-divider--view-line elementor-widget elementor-widget-divider\" data-id=\"e2fdb1a\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"divider.default\">\n\t\t\t\t\t\t\t<div class=\"elementor-divider\">\n\t\t\t<span class=\"elementor-divider-separator\">\n\t\t\t\t\t\t<\/span>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e27a26e elementor-widget elementor-widget-heading\" data-id=\"e27a26e\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">2. Services and Subscription Plans<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-cde7c99 elementor-widget elementor-widget-text-editor\" data-id=\"cde7c99\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>The services provided by OBSAM are structured around the OSTRAL platform and the BOREAL tool.<br \/>OSTRAL is a platform designed to manage industrial data, anticipate obsolescence risks, and<br \/>connect industrial needs with available solutions within a network of stakeholders.<br \/>The subscription offers are as follows:<\/p><ul><li>OSTRAL Essentiel: subscription intended for companies wishing to access data, monitor their references, and identify solutions to their industrial challenges.<\/li><li>OSTRAL Solution: subscription intended for companies wishing to promote their solutions, respond to industrial needs, and develop business opportunities.<\/li><\/ul><p>These subscriptions may be supplemented by additional modules, including but not limited to<br \/>reference extensions, solution activation, and technical integrations.<br \/>The detailed features of each offer, as well as the applicable pricing conditions, are specified<br \/>in the subscription form and\/or related commercial documents<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-a7885ec e-flex e-con-boxed e-con e-parent\" data-id=\"a7885ec\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-89eb284 elementor-widget-divider--view-line elementor-widget elementor-widget-divider\" data-id=\"89eb284\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"divider.default\">\n\t\t\t\t\t\t\t<div class=\"elementor-divider\">\n\t\t\t<span class=\"elementor-divider-separator\">\n\t\t\t\t\t\t<\/span>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-da04d5e elementor-widget elementor-widget-heading\" data-id=\"da04d5e\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">3. Term and Renewal<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-4feee43 elementor-widget elementor-widget-text-editor\" data-id=\"4feee43\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>The agreement shall take effect from the date of service activation.<br \/>It is entered into for an initial fixed term of twelve (12) months.<br \/>Unless terminated by either party, with notice given in writing (by registered letter or email with acknowledgment of receipt) at least two (2) months prior to the expiry date, the agreement shall be automatically renewed for successive periods of twelve (12) months.<br \/>By way of exception, certain offers may include specific early termination conditions, particularly in the case of monthly payments. These conditions are detailed in the subscription form.<br \/>OBSAM may, on a non-binding basis, notify the client of the upcoming renewal date of their subscription.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-10d15b6 e-flex e-con-boxed e-con e-parent\" data-id=\"10d15b6\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-d6f0f52 elementor-widget-divider--view-line elementor-widget elementor-widget-divider\" data-id=\"d6f0f52\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"divider.default\">\n\t\t\t\t\t\t\t<div class=\"elementor-divider\">\n\t\t\t<span class=\"elementor-divider-separator\">\n\t\t\t\t\t\t<\/span>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-5c3aef3 elementor-widget elementor-widget-heading\" data-id=\"5c3aef3\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">4. Payment Terms<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-7eead7f elementor-widget elementor-widget-text-editor\" data-id=\"7eead7f\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>Payment of subscriptions shall be made by bank transfer to OBSAM\u2019s account (bank details<br \/>provided).<br \/>Depending on the subscribed offer, payment may be made:<\/p><ul><li>either in full upon order, and upon each annual renewal;<\/li><li>or on a monthly basis, under the conditions specified in the subscription form.<\/li><\/ul><p>Additional modules shall be invoiced on a monthly basis, based on the services effectively performed during the previous month.<br \/>In the event of renewal or monthly payment, any delay in payment exceeding thirty (30) calendar days from the due date shall result in:<\/p><ul><li>suspension of access to the services, following prior notice remaining without effect;<\/li><li>the application of late payment interest in accordance with Article L441-10 of the<br \/>French Commercial Code;<\/li><li>the application of a fixed recovery fee of \u20ac40.<\/li><\/ul><p>OBSAM reserves the right to require immediate payment of any outstanding amounts in the<br \/>event of non-compliance with the payment terms.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-c13b861 e-flex e-con-boxed e-con e-parent\" data-id=\"c13b861\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-465b9ea elementor-widget-divider--view-line elementor-widget elementor-widget-divider\" data-id=\"465b9ea\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"divider.default\">\n\t\t\t\t\t\t\t<div class=\"elementor-divider\">\n\t\t\t<span class=\"elementor-divider-separator\">\n\t\t\t\t\t\t<\/span>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-72fe71e elementor-widget elementor-widget-heading\" data-id=\"72fe71e\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">5. Subscription Requirements<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-fe765d9 elementor-widget elementor-widget-text-editor\" data-id=\"fe765d9\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>The Client shall provide the following valid and up-to-date documents:<\/p><ul><li>Signed subscription form;<\/li><li>Completed client information sheet; <br \/>GENERAL TERMS AND CONDITIONS OF SALE (GTCS) OSTRAL<\/li><li>Extract from the Trade Register (Kbis) dated less than three (3) months;<\/li><li>Valid professional certifications and accreditations.<\/li><\/ul><p>OBSAM reserves the right to refuse access to the Services if such documents are not provided.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-3db1ca2 e-flex e-con-boxed e-con e-parent\" data-id=\"3db1ca2\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-6e33e6e elementor-widget-divider--view-line elementor-widget elementor-widget-divider\" data-id=\"6e33e6e\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"divider.default\">\n\t\t\t\t\t\t\t<div class=\"elementor-divider\">\n\t\t\t<span class=\"elementor-divider-separator\">\n\t\t\t\t\t\t<\/span>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-376f14c elementor-widget elementor-widget-heading\" data-id=\"376f14c\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">6. Acceptable Use<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ce78c52 elementor-widget elementor-widget-text-editor\" data-id=\"ce78c52\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>The Client agrees to:<\/p><ul><li>Use the Services strictly for its internal business purposes;<\/li><li>Keep all login credentials confidential and secure;<\/li><li>Refrain from copying, distributing, sublicensing, or otherwise making the Services available to any third party.<\/li><\/ul><p><br \/>Any breach may result in immediate suspension or termination of the Agreement, without refund or compensation, and may give rise to legal action.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-5826caa e-flex e-con-boxed e-con e-parent\" data-id=\"5826caa\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-6e0f4be elementor-widget-divider--view-line elementor-widget elementor-widget-divider\" data-id=\"6e0f4be\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"divider.default\">\n\t\t\t\t\t\t\t<div class=\"elementor-divider\">\n\t\t\t<span class=\"elementor-divider-separator\">\n\t\t\t\t\t\t<\/span>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-bdf1e51 elementor-widget elementor-widget-heading\" data-id=\"bdf1e51\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">7. Service Levels and Support<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-5f272b1 elementor-widget elementor-widget-text-editor\" data-id=\"5f272b1\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>OBSAM shall:<\/p><ul><li>Use commercially reasonable efforts to ensure availability of the Services Monday to<br \/>Friday, 9:00 a.m. to 5:00 p.m. (excluding French public holidays);<\/li><li>Provide updates and improvements at no additional cost;<\/li><li>Offer technical support via email during business hours;<\/li><li>Implement appropriate technical and organizational measures to ensure data security.\u00a0<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-956ea5b e-flex e-con-boxed e-con e-parent\" data-id=\"956ea5b\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-595b28c elementor-widget-divider--view-line elementor-widget elementor-widget-divider\" data-id=\"595b28c\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"divider.default\">\n\t\t\t\t\t\t\t<div class=\"elementor-divider\">\n\t\t\t<span class=\"elementor-divider-separator\">\n\t\t\t\t\t\t<\/span>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-b2ef02f elementor-widget elementor-widget-heading\" data-id=\"b2ef02f\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">8. Data Protection (GDPR)<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-391b7ba elementor-widget elementor-widget-text-editor\" data-id=\"391b7ba\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>OBSAM complies with the General Data Protection Regulation (EU) 2016\/679 (\u201cGDPR\u201d).<br \/>In particular:<\/p><ul><li>Client data is hosted exclusively within the European Union;<\/li><li>No personal data is sold or shared with third parties for commercial purposes;<\/li><li>Clients may exercise their rights (access, rectification, erasure) by contacting: <a href=\"mailto:rgpd@obsam.com\">rgpd@obsam.com <\/a><\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-32182a1 e-flex e-con-boxed e-con e-parent\" data-id=\"32182a1\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-03ac066 elementor-widget-divider--view-line elementor-widget elementor-widget-divider\" data-id=\"03ac066\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"divider.default\">\n\t\t\t\t\t\t\t<div class=\"elementor-divider\">\n\t\t\t<span class=\"elementor-divider-separator\">\n\t\t\t\t\t\t<\/span>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d193e7c elementor-widget elementor-widget-heading\" data-id=\"d193e7c\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">9. Intellectual Property<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-7c72855 elementor-widget elementor-widget-text-editor\" data-id=\"7c72855\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>All intellectual property rights relating to the Services, including software, platforms, docu-mentation, and content, remain the exclusive property of OBSAM.<\/p><p>No rights are granted to the Client other than a limited, non-exclusive, non-transferable right to use the Services for the duration of the Agreement.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-e37dae1 e-flex e-con-boxed e-con e-parent\" data-id=\"e37dae1\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-5ecb1ec elementor-widget-divider--view-line elementor-widget elementor-widget-divider\" data-id=\"5ecb1ec\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"divider.default\">\n\t\t\t\t\t\t\t<div class=\"elementor-divider\">\n\t\t\t<span class=\"elementor-divider-separator\">\n\t\t\t\t\t\t<\/span>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-7843f4d elementor-widget elementor-widget-heading\" data-id=\"7843f4d\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">10. Liability and Force Majeure<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-b6964ef elementor-widget elementor-widget-text-editor\" data-id=\"b6964ef\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>OBSAM shall provide the Services in accordance with industry standards but shall not be liable for:<\/p><ul><li>Any indirect, incidental, or consequential damages, including loss of profit, revenue, or data;<\/li><li>Service interruptions due to maintenance, technical issues, or events beyond its reaso-nable control (including force majeure events such as fire, strikes, floods, or cyberat-tacks).<\/li><\/ul><p>In any event, OBSAM\u2019s total liability shall not exceed the total amount paid by the Client for the Services during the preceding twelve (12) months.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-e1ecead e-flex e-con-boxed e-con e-parent\" data-id=\"e1ecead\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-d94efda elementor-widget-divider--view-line elementor-widget elementor-widget-divider\" data-id=\"d94efda\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"divider.default\">\n\t\t\t\t\t\t\t<div class=\"elementor-divider\">\n\t\t\t<span class=\"elementor-divider-separator\">\n\t\t\t\t\t\t<\/span>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-8c5f211 elementor-widget elementor-widget-heading\" data-id=\"8c5f211\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">11.
